Our Framework

T.H.O.R.

The Thesis approach to sourcing, acquiring, transitioning, and building enduring lower middle market businesses. Each stage compounds our structural advantages, starting with the most overlooked variable in private equity: the operator.

Stage 01

Talent First

Most private equity firms start with a deal and then look for a manager. We reverse the sequence.

We identify, recruit, and develop exceptional operating talent before an acquisition target exists. Operators spend 6 to 12 months proving their thesis before deployment. This talent-first model means that when we find the right business, we already have the right leader, vetted, prepared, and aligned, ready to step in from day one.

The Talent First stage is not a staffing exercise. It is the foundation of our entire investment model. The quality of the operator determines the ceiling for every investment, and we refuse to accept a compromised leadership outcome. Our operator bench currently includes 9 executives ready for deployment with 100% retention (as of December 31, 2025), drawn from institutions including McKinsey, BCG, Kellogg, Stanford GSB, Wharton, HBS, Yale SOM, Chicago Booth, and MIT Sloan.

T

Why This Matters

  • Double-layered vetting: character, competence, and commitment
  • Day 1 aligned operator incentives
  • Eliminates the post-close scramble for management
  • Builds a compounding bench of experienced leaders over time
  • $100M+ Capital invested with Operators in the past 3 years

Stage 02

Hunt

Our proprietary BEACON platform screens 8,100+ opportunities every six months. We find deals before other fund managers.

BEACON (Business Evaluation & Acquisition Coverage & Origination Network) is our proprietary deal origination engine. It algorithmically screens broker platforms, industry databases, and public filings to identify every on-market lower middle market opportunity in real time. It also cross-references owner demographics and industry signals to identify pre-market sellers before they engage advisors.

Direct sourcing means less competition, better terms, and stronger founder relationships. We are not bidding in auctions for marketed businesses. We are building relationships with founders who care about what happens to their companies, their employees, and their legacy. BEACON maps each opportunity against our active operator bench, so we only pursue deals where a proven CEO is already committed.

H

Our Approach

  • 8,100+ deals screened every 6 months via BEACON
  • Proprietary off-market identification before advisors are engaged
  • Operator pre-matched to each opportunity before LOI
  • 1,200+ intermediary relationships tracked and managed

Stage 03

Operationalize

The first 100 days after close determine the trajectory of an investment.

We deploy our operator into the business immediately, execute a structured leadership transition, and build the operational infrastructure the business needs to scale. This is not a boardroom exercise. Our operators relocate to the headquarters, meet every employee, and take ownership of the business from day one.

The Operationalize stage follows a disciplined playbook; but it is not rigid. Every transition is different, and we adapt our approach to the specific needs of each business, its culture, and its people.

O

Focus Areas

  • Structured leadership transition plan
  • Financial reporting and KPI infrastructure
  • Organizational assessment and key hire plan
  • Customer and vendor relationship continuity
  • First 100-day operational roadmap

Stage 04

Refine

Once the foundation is in place, we shift to continuous improvement; disciplined, measurable, and oriented toward long-term value.

Our operators drive organic growth initiatives, evaluate strategic add-on opportunities, strengthen operational processes, and build businesses that generate increasing cash flow year over year. The Refine stage is open-ended by design. We are not building to a three-year exit timeline, we are building businesses that compound.

R

Value Creation Levers

  • Organic revenue growth and pricing optimization
  • Operational efficiency and margin expansion
  • Strategic add-on acquisitions where appropriate
  • Talent development and organizational strengthening
  • Technology and systems modernization
